Overview

Users can receive email alerts from Osaka Exchange, Inc. (OSE) related to any trading suspension of OSE derivative products due to OSE system trouble, and similar alerts related to any delays in the publication of settlement prices or SPAN Risk Parameter Files by Japan Securities Clearing Corporation (JSCC).

1. Trading suspension due to system trouble
2. Trading resumption after above trading suspension
3. Delay in publication of settlement prices or SPAN Risk Parameter Files by JSCC
4. Delayed delivery of settlement prices or SPAN Risk Parameter Files after above delay

Terms and Conditions of Use

Article 1: General Rules
1. Osaka Exchange Alert Mail (hereinafter referred as “OSE Alert Mail”) is a service provided by Osaka Exchange, Inc. (hereinafter referred as “OSE”) to immediately provide information (hereinafter referred as “the Alert Information”) with respect to any trading suspension or resumption of derivative products listed on OSE due to system trouble, and the delay in publication or delayed delivery of settlement prices or SPAN Risk Parameter Files by Japan Securities Clearing Corporation (hereinafter referred as ”JSCC”).
2. OSE Alert Mail is produced and delivered by OSE.
3. These terms and conditions apply to OSE Alert Mail, the content of which can be changed at any time by OSE without users’ consent. 
4. OSE Alert Mail is provided to users for the aims stated in Article 1, Paragraph 1 and is not intended as advice or recommendation for users’ investment or business.

Article 2: User
1. Users are persons who, having consented to these terms and conditions, have completed the necessary subscription procedures stipulated in Article 2, Paragraphs 2 and 3, and whose user subscription has been approved by OSE.
2. A person or entity wishing to become a user subscribes by providing the necessary information on the prescribed application webpage.
3. OSE sends notices of user approval, as stipulated in Article 2, Paragraph 1, by e-mail.
4. User rights may not be transferred to a third party.

Article 3: Handling of Personal Information
1. Before applying for OSE Alert Mail, please refer to the following page for ”Handling of Personal Information". (http://www.jpx.co.jp/english/corporate/about-jpx/info-security/index.html).
By sending in your completed application in accordance with the necessary subscription procedures stipulated in Article 2, Paragraphs 2 and 3, you will be considered by OSE to have agreed to the contents of “Handling of Personal Information”.

Article 4: Fees
1. No fees are charged for using the alert information.
2. Any communication or Internet expenses and any other expenses incurred for using OSE Alert Mail will be borne by the user.

Article 5: Notice of Change in User Details
In the case of a change in the details of a user, the user shall re-apply on the prescribed application webpage after sending a notice of user removal to OSE in accordance with the next article.

Article 6: Notice of User Removal
When a user wishes to be removed from OSE Alert Mail, the user shall send a notice of user removal to OSE by submitting such a request to unsubscribe on the prescribed webpage.

Article 7: Revoking User Rights
1. When the mail cannot be delivered to the e-mail address provided by a user, when it becomes known that a user provided false information in the user application, when a user is found to have violated these terms and conditions, and in any other cases deemed necessary by OSE, OSE may revoke the user rights without notice.
2. OSE will not accept any responsibility for any damages or losses suffered by a user or third party through such revocation of user rights.

Article 8: Distribution and Use of Information
1. OSE will send the alert information to users.
2. The alert information as stipulated above will, in principle, be sent via e-mail. However, when deemed necessary, OSE may change the method of provision.
3. Users shall abide by law in the use of the alert information.
4. The copyright to the alert information belongs to OSE. Users may not reproduce, retransmit, send, distribute, display, correct, or through any other means provide all or part of the alert information to a third party without the prior permission of OSE.

Article 9: Suspension, Termination, and Changes
1. OSE may partially or entirely terminate or suspend OSE Alert Mail in the following cases without notice to users.
(1)Cases where maintenance works are needed
(2)Cases where OSE cannot provide OSE Alert Mail due to fire or power failure
(3)Cases where OSE cannot provide OSE Alert Mail due to natural disasters such as earthquake, flood, and tsunami
(4)Cases where OSE cannot provide the OSE Alert Mail due to man-made such as armed conflict, civil disorder, and social strife, unforeseen circumstances
(5)Any other cases deemed necessary by OSE
2. OSE may, when it deems necessary, change the content of OSE Alert Mail without notice.

Article 10: Prohibited Acts
1. Users are prohibited from conducting the following acts in the use of the alert information.
(1)Acts that violate these terms and conditions
(2)Acts of impersonation
(3)Acts of registering to the service a large number of e-mail addresses that were obtained or generated illegally
(4)Acts that may infringe upon or undermine a third party’s rights or interests
(5)Acts of attempting to illegally access or put excessive stress on the OSE server, or disrupt OSE systems
(6)Other acts that are deemed by OSE to be inappropriate

Article 11: Disclaimer
1. OSE will not accept any responsibility for any damages or losses suffered by a user or third party arising from delayed delivery or inability to deliver the alert information as a result of server, network, or system failure, power failure, natural disaster, maintenance work, operational circumstances, or any other reason.
2. Due to human, mechanical, or other errors, inaccuracies may exist in the alert information. OSE will not accept any responsibility for any decisions made by the user due to the use of the alert information.
3. The alert information is for reference with respect to information published on the websites of Japan Exchange Group, Inc. (OSE) or JSCC.
4. OSE will not accept any responsibility for any damages or losses suffered by users as a result of their use of the alert information.
5. OSE will not accept any responsibility for any damages or losses suffered by other users or any third party as a result of the use of the alert information by a user. Furthermore, the user will bear the responsibility and costs for such damages and losses.
6. Article 9, Paragraph 2 will apply even if the alert information contains errors or omissions.
7. OSE may end OSE Alert Mail operations at any time without prior notice. OSE will not accept any responsibility for any damages or losses suffered by a user or third party as a result of ending OSE Alert Mail operations.

Article 12: Jurisdiction
If the necessity for a lawsuit arises between a user and OSE, the lawsuit will first be filed with the Tokyo District Court.

Article 13: Changes to Terms and Conditions of Use
OSE may revise these Terms and Conditions of Use without prior notice. Users are reminded to check the latest Terms and Conditions of Use.
