Overview of TDnet

TDnet(Timely Disclosure network) aims to achieve fair, fast and extensive timely disclosure by integrating the series of processes that listed companies use for disclosing corporate information onto an electronic platform. These processes include provision of detailed information to Tokyo Stock Exchange, Inc. (hereinafter "TSE") before disclosure, disclosure to media institutions (transmission to terminals installed at the press club and media company headquarters), filing to a database of disclosed information, and public inspection (posting on Company Announcements Disclosure Service).
Listed companies are required to use TDnet when disclosing corporate information pursuant to the Securities Listing Regulations. They are also encouraged to use TDnet to disclose voluntary corporate information, to maximize knowledge of the information among investors.

Posting Disclosure Documents on Company Announcements Disclosure Service, etc.

Company Announcements Disclosure Service is a web service created by TSE to enable corporate information disclosed via TDnet to meet legal requirements pertaining to publication measures under insider trading regulations. Information disclosed via TDnet will be made available for public inspection on Company Announcements Disclosure Service simultaneously (as well as being disclosed to the media). Listed companies which post corporate information to this service will at that point have executed the legal publication measures pertaining to material facts such as the fact concerning tender offers (limited to those prescribed in Article 27-22-2, Paragraph 1 of the Financial Instruments and Exchange Act).

Documents disclosed via TDnet are instantly made available for a period of 31 days (including the date of disclosure, Saturdays, Sundays, and national holidays) on the TSE website (Company Announcements Disclosure Service). Also, the TSE website (Listed Company Search) allows users to browse financial information from the past five years and other information such as decisions made by and facts which occurred for a listed company in the past year. A paid database service (TDnet Database Service) is also available for viewing all disclosed information from the past five years.

Information is posted on Company Announcements Disclosure Service when disclosed on TDnet.

Publication Measures

Listed companies which post corporate information to this service will at that point have executed the legal publication measures pertaining to material facts such as the fact concerning tender offers (limited to those prescribed in Article 27-22-2, Paragraph 1 of the Financial Instruments and Exchange Act).
