Preparation of Practical Handbook for English Disclosure
Today, Tokyo Stock Exchange, Inc. (TSE) has electronically distributed the "Practical Handbook for English Disclosure" to all listed companies from the viewpoint of promoting English disclosure initiatives. With summaries of points to note and insight into disclosing information in English, this handbook has been created to assist listed companies in preparing disclosure information in English.
The reason for the preparation of this handbook, expectations for listed companies, and other information is as follows:
- With the globalization of financial and capital markets in recent years, overseas investors have become important investment entities in the TSE market. In order to promote medium- to long-term investment participation from overseas investors, disclosure and provision of corporate information in English (hereinafter referred to as "English disclosure") is becoming increasingly important. In particular, the Prime Market, a new market segment launched on April 4, 2022, is positioned as "a market for companies centering their business on constructive dialogue with global investors," and *requires the disclosure of essential information in English as the foundation of that dialogue.
- In this context, TSE has compiled this handbook to assist listed companies in preparing disclosure materials in English when they start or expand English disclosure by offering advice such as on how to draw up plans for disclosing information in English, how to outsource translation, and how to use machine translation tools.
- We expect that listed companies will continue their efforts to expand English disclosure while translating documents into English will be a starting point, engaging in constructive dialogue with overseas investors, attracting their investment, and ultimately enhancing their corporate value over the medium- to long-term.
- Refer to the Corporate Governance Code's, Supplementary Principle 3.1.2
TSE will continue to encourage strengthened English disclosure practices and improved accessibility.
