Jun. 26, 2024 TSE Delisting Date of Samantha Thavasa Japan Limited stock

 

Samantha Thavasa Japan Limited (Code: 7829, Market Segment: Growth Market) (hereinafter "the Company") will become a wholly-owned subsidiary of KONAKA CO., LTD. (Code: 7494, Market Segment: Standard Market) by a share exchange (the "Share Exchange"), and thus its stock will be delisted on Jun. 27, 2024 (Thu.) in accordance with Rule 601, Paragraph 1, Item (13) of the Securities Listing Regulations.
Due to the Share Exchange, shares of KONAKA CO., LTD. will be delivered to the shareholders of the Company as all or part of the Company's assets in lieu of the stock, etc.

Note: The delisting date for the Company's stock will be Jun. 27, 2024, because the Share Exchange will be conducted, as stated above, although TSE has previously announced that: (i) the stock would be designated as a Security to Be Delisted on Jun. 10 and would be delisted on Jul. 11 due to falling under a case of inappropriate merger, etc. as stated in Rule 601, Paragraph 1, Item (5), Sub-item a of the Securities Listing Regulations, and that (ii) the stock would be delisted on Jun. 27, 2024, notwithstanding (i), in the event that the Share Exchange is conducted, in accordance with Rule 601, Paragraph 1, Item (13) of the Securities Listing Regulations.
