In principle, if the listed company ceases to be a substantial surviving company, its stock will enter a grace period.

| 3.Details of Reason | SBI Global Asset Management Co.,Ltd. (hereinafter referred to as “the Company”) has announced today that, subject to the approval of its general shareholders meeting and other conditions, it will implement a business integration (hereinafter referred to as “the Business Integration”) through an absorption-type merger in which SBI Insurance Group Co.,Ltd. (Code: 7326; Market Segment: Growth Market) will be the absorbed company. If the Business Integration is implemented, the Company will cease to be a substantial surviving company. |
(Note1) The decision on whether a company is a "substantial surviving company" is not a decision on the nature of the business or on business continuity of said company. The decision is made based on overall consideration of matters such as (i) management performance and financial status, (ii) executive officer composition and business management organization, (iii) shareholder composition, (iv) trade name or company name, and (v) other matters that are deemed to have a material impact on the listed company due to the action in question. In general, it is a comparison of superiority of the companies involved in terms of scale, etc.
(Note2) If the Business Integration is implemented and the Company ceases to be a substantial surviving company, the Company’s stock will enter a grace period on the date of the Business Integration. If the Company is deemed to meet criteria equivalent to the initial listing criteria for the Prime Market prior to the date of the Business Integration, the Company’s stock will continue to be listed on the Prime Market without entering a grace period.
(Note3) The grace period will be from the date of the Business Integration to the day three years after the end of the first business year ending after the date of the Business Integration (if this day is not the last day of the Company’s business year, to the last day of the business year ending immediately before this day). If the Company is deemed to meet criteria equivalent to the initial listing criteria for the Prime Market during the grace period, the grace-period designation will be removed, and the Company’s stock will continue to be listed on the Prime Market.
(Note4) If the Company does not apply for an examination as to whether it meets criteria equivalent to the initial listing criteria for the Prime Market within eight business days counting from the submission date of the first annual securities report after the end of the grace period (including cases where it is clear that such an application will not be made), or if the Company is deemed not to meet these criteria as a result of the examination, the Company’s stock will be transferred to the Growth Market, on which SBI Insurance Group Co.,Ltd. was listed.
