Oct. 23, 2026 TSE Continued Designation as Security on Special Alert: ACCESS CO.,LTD.

The following issue will continue to be designated as Security on Special Alert.

*This decision is based on the results of the examination by Japan Exchange Regulation.

1.Issue Name ACCESS CO.,LTD. stock
(Code: 4813, Market Segment: Prime Market)
2.Date of Decision Oct. 23, 2026 (Fri.)
  Reason
  (Related Clause)
Due to a listed company that has submitted a Written Confirmation of Internal Management System falling under a case where, although the internal management system, etc. is deemed to have been adequately developed, it is not deemed to be adequately implemented.
(Securities Listing Regulations, Rule 503, Paragraph 4, Item (2), a)
3.Details of Reason ACCESS CO.,LTD (hereinafter referred to as "the Company") previously corrected its past financial results on Jun. 30, 2025. Regarding this, TSE deemed that improvements to the Company’s internal management system, etc. were highly necessary and designated the Company's stock as a Security on Special Alert on Aug. 27, 2025.
TSE has now checked the written confirmation of internal management system submitted by the Company after one (1) year had elapsed since said designation. As a result, TSE deems that, with respect to the improvement plan and other documents disclosed by the Company on Jan. 30, 2026, the Company’s internal management system, etc. has been adequately developed based on the measures described below, but has not been adequately implemented.

-The Company made changes to its management in Aug. 2026, including installing a new Representative Director as well as CFO. However, the new management has not yet been in place for a sufficient period for TSE to confirm whether the internal management system, etc., including the various measures based on the improvement plan, is likely to continue to be adequately implemented. In particular, the improvement measures, including those to strengthen the Company’s management of the overseas subsidiary that operates the Company’s network business (hereinafter referred to as “the Subsidiary”), require the proactive involvement of the CFO. As the new CFO was appointed only recently, TSE needs to carry out ongoing confirmation of whether these measures will be adequately implemented.
-At the Subsidiary, TSE deemed that there were instances where certain measures set out in the improvement plan for credit and receivables management were not thoroughly implemented. The Company also had multiple operational deficiencies, including inadequacies in approval procedures under its related party transaction management rules.

Based on the above, TSE has decided to continue the designation of the Company's stock as a Security on Special Alert and to continue to examine the development and implementation status of the Company’s internal management system, etc.
